- 1.3 Consumer: Any individual or entity purchasing goods or services through the
Ojaeko.net platform.
- 1.4 Electronic Transactions Bill 2023: A proposed bill in Nigeria aimed at providing a
legal framework for electronic transactions, including recognition of electronic
documents, signatures, and consumer protections (still under legislative review as of
the latest information).
- 1.5 Goods/Services: Products or services listed by the Vendor for sale on the Ojaeko.net
platform.
- 2. Eligibility to Become a Vendor
- 2.1 To register as a Vendor on Ojaeko.net, you must: Be a legally recognized individual
(at least 18 years old) or a registered business entity in Nigeria, compliant with the
Companies and Allied Matters Act (CAMA) 2020. Have a valid registration with the
Corporate Affairs Commission (CAC) for businesses or provide verifiable identification
for individuals. Register with the National Information Technology Development Agency
(NITDA) as required under the NITDA Act 2007 for entities engaging in e-commerce
activities, if applicable. Have a valid Tax Identification Number (TIN) issued by the
Federal Inland Revenue Service (FIRS) and comply with tax obligations under the Finance
Act 2023, including Value Added Tax (VAT) and corporate income tax. Maintain a
functional bank account in Nigeria for receiving payments. Agree to comply with all
applicable Nigerian laws, including the Cybercrimes Act 2015 and the FCCPA.
- 2.2 Ojaeko.net reserves the right to reject or terminate any Vendor application or
account that does not meet these eligibility criteria or violates these Terms.
- 3. Vendor Registration and Account Responsibilities
- 3.1 Registration Process: Complete the online vendor registration form on Ojaeko.net,
providing accurate and verifiable information, including business registration details,
tax information, and contact details. - Submit any additional documentation requested by
Ojaeko.net, such as CAC certificates, TIN, or proof of NITDA registration. - Pay any
applicable registration or subscription fees as outlined by Ojaeko.net
- 3.2 Account Security: You are responsible for maintaining the confidentiality of your
account login credentials. You must notify Ojaeko.net immediately of any unauthorized
access or security breach. Under the Cybercrimes Act 2015, you are liable for any
fraudulent activities conducted through your account due to negligence in securing your
credentials.
- 3.3 Accuracy of Information: All information provided during registration and throughout
your use of the platform must be accurate and up-to-date. Misrepresentation of business
details or products is prohibited under Section 14 of the Cybercrimes Act 2015 and may
result in account suspension or legal action.
- 4. Listing and Selling Goods/Services
- 4.1 Product Listings: Vendors must ensure that all listed goods or services comply with
Nigerian laws, including the Standards Organisation of Nigeria (SON) regulations for
product quality and safety. Listings must include accurate descriptions, images,
pricing, and delivery timelines. Misrepresentation of goods or services is prohibited
under the FCCPA. Prohibited items (e.g., arms, explosives, hazardous materials, or
counterfeit goods) must not be listed, in accordance with Nigerian Shipping and Maritime
Laws and the Cybercrimes Act 2015.
- 4.2 Pricing and Taxes: Vendors are to provide prices, inclusive of applicable taxes
(e.g., VAT as required by the Finance Act 2023). Ojaeko.net will add markup to set the
listing prices, collect and remit VAT on behalf of Vendors, as mandated by law, and
provide remittance confirmations.
- 4.3 Inventory Management: Vendors must maintain accurate inventory records and update
availability promptly to avoid overselling. Failure to fulfill orders due to inaccurate
inventory may result in penalties or account suspension.
- 4.4 Electronic Transactions: All transactions on the platform are conducted
electronically and are subject to the provisions of the proposed Electronic Transactions
Bill 2023, which recognizes electronic documents, signatures, and records as legally
valid. Vendors must ensure that electronic contracts with consumers comply with common
law principles and the Evidence Act 2011 (as amended) for admissibility of electronic
evidence.
- 5. Order Fulfillment and Delivery
- 5.1 Order Processing: Vendors must process and fulfill orders within the timelines
specified in their listings. Failure to fulfill orders may result in penalties, refunds,
or account suspension, in line with consumer protection obligations under the FCCPA.
- 5.2 Delivery: Deliveries are carried out through Ojaeko.net’s logistics partners.
Delivery timelines must be clearly communicated to consumers at the point of purchase.
Ojaeko.net is not liable for delays or failures in delivery caused by third-party
logistics providers.
- 5.3 Returns and Refunds: Vendors must comply with Ojaeko.net’s return and refund policy,
which aligns with the FCCPA and protects consumers from defective or misrepresented

and refunds must be issued promptly upon approval.
- 6. Payments and Fees
- 6.1 Payment Processing: Payments for goods/services are processed through Ojaeko.net’s

Cybercrimes Act 2015. Vendors will receive payments (less applicable fees and taxes)

including VAT and corporate income tax, as required by the Finance Act 2023. Ojaeko.net
may withhold taxes as required by law and provide Vendors with necessary tax
documentation.
- 7. Consumer Protection and Data Privacy
- 7.1 Consumer Rights: Vendors must adhere to consumer protection laws under the FCCPA,
including providing accurate product information, honoring warranties, and addressing
consumer complaints promptly. Fraudulent practices, such as misrepresentation or
non-delivery, are prohibited and may result in legal action under the Cybercrimes Act
2015.
- 7.2 Data Protection: Vendors must comply with the Nigeria Data Protection Regulation
(NDPR) under the NITDA Act 2007, ensuring the protection of consumer personal data
collected during transactions. Unauthorized access to or misuse of consumer data is
prohibited and may result in penalties under the Cybercrimes Act 2015 and NDPR.
- 7.3 Dispute Resolution: Vendors must cooperate with Ojaeko.net to resolve consumer
complaints or disputes promptly. Disputes not resolved amicably may be referred to
mediation or arbitration in Lagos, Nigeria, in accordance with the Arbitration and
Conciliation Act.
- 8. Intellectual Property and Branding
- 8.1 Vendor Intellectual Property: Vendors warrant that they have the legal right to use
any intellectual property (e.g., trademarks, logos, product images) in their listings.
Ojaeko.net is not liable for any intellectual property disputes arising from Vendor
content.
- 8.2 Ojaeko.net’s Intellectual Property: Vendors may not use Ojaeko.net’s trademarks,
logos, or branding without prior written consent. Unauthorized use may result in legal
action and account termination.
- 9. Prohibited Activities
- 9.1 Vendors are prohibited from: Engaging in fraudulent activities, including
misrepresentation of goods or non-delivery, as outlined in Section 14 of the Cybercrimes
Act 2015. - Listing prohibited or illegal items, including those restricted under
Nigerian Shipping and Maritime Laws. Manipulating pricing or engaging in
anti-competitive practices, in violation of the FCCPA. Using the platform for money
laundering or other illegal financial transactions, as regulated by the CBN and the
Economic and Financial Crimes Commission (EFCC).
- 9.2 Ojaeko.net reserves the right to suspend or terminate Vendor accounts for violations
of these prohibitions.
- 10. Termination and Suspension
- 10.1 Termination by Vendor: Vendors may terminate their account by providing [insert

fulfilled, and fees settled before termination.
- 10.2 Termination by Ojaeko.net: Ojaeko.net may suspend or terminate a Vendor’s account

Act 2015 or FCCPA. Failure to fulfill orders or resolve consumer complaints. Suspected
fraudulent or illegal activities.
- 10.3 Upon termination, Vendors must cease using the platform and settle any outstanding
fees or obligations.
- 11. Liability and Indemnity
- 11.1 Limitation of Liability: Ojaeko.net is not liable for losses arising from Vendor
actions, including non-delivery, defective products, or misrepresentation. -
Ojaeko.net’s liability is limited to the fees paid by the Vendor for platform services.
- 11.2 Indemnity: Vendors agree to indemnify Ojaeko.net against any claims, damages, or
losses arising from their actions, including violations of consumer rights, intellectual
property disputes, or non-compliance with Nigerian laws.
- 12. Governing Law and Jurisdiction
- 12.1 These Terms are governed by the laws of the Federal Republic of Nigeria, including
the Electronic Transactions Bill 2023 (if enacted), the Cybercrimes Act 2015, and the
FCCPA.
- 12.2 Any disputes arising from these Terms shall be resolved through negotiation,
mediation, or arbitration in Lagos, Nigeria. If unresolved, disputes shall be subject to
the exclusive jurisdiction of the courts in Lagos, Nigeria.
- 13. Amendments to Terms
- 13.1 Ojaeko.net reserves the right to amend these Terms at any time. Vendors will be
notified of changes via email or the platform.
- 13.2 Continued use of the platform after amendments constitutes acceptance of the
revised Terms.
- 14. Compliance with the Electronic Transactions Bill 2023
- 14.1 The Electronic Transactions Bill 2023 (SB. 94), if enacted, will provide legal
recognition for electronic documents, signatures, and records. Vendors must ensure their
operations align with these provisions, including: - Using secure electronic signatures
for contracts. - Maintaining accurate electronic records of transactions. - Protecting
consumer data in line with data security and privacy measures.
- 14.2 Ojaeko.net will provide guidance to Vendors on compliance with the Bill once it is
enacted.
